Welcome to Du Pont Solutions (Pty) Ltd (“Du Pont Solutions”, “we”, “our”, or “us”).
By requesting a quotation, purchasing goods, making payment, or utilising our services, you agree to be bound by the Terms & Conditions below.
1. Pricing
- All prices are quoted per single delivery unless otherwise stated.
- All prices are exclusive of VAT unless expressly indicated.
- Prices and product specifications are subject to change without prior notice.
- Backordered items are not price-fixed and may be adjusted in accordance with supplier pricing at the time of fulfilment.
- Du Pont Solutions reserves the right to correct any pricing errors.
2. Payment Terms
- Unless otherwise agreed in writing, payment is Strictly C.O.D.
- Full payment must be made by the due date reflected on the invoice.
- No further goods or services will be supplied while any account remains outstanding.
- Late payments may incur interest and previously granted discounts may be withdrawn.
- Ownership of goods remains vested in Du Pont Solutions until full and final payment has been received.
- Insurance-related work is strictly C.O.D. We do not wait for insurance payouts.
3. Delivery & Collection
- Positive identification may be required for account purchases.
- Component/spare part orders not collected within 5 days may be cancelled.
- PC and Notebook orders not collected within 7 days may be cancelled.
- Backordered items received into stock and not collected within 5 days may be cancelled.
4. Warranties
- Warranties are held by the original suppliers/manufacturers, and usually carry a 12-month limited warranty from date of purchase unless otherwise specified
- Warranty is void if:
o Serial numbers are removed or tampered with.
o Products are physically damaged.
o Damage is caused by lightning, power surges, load shedding, misuse, neglect, viruses, liquid damage, or environmental factors. - Repairs must be returned with original invoice and fault description.
- Du Pont Solutions is not responsible for any data loss under any circumstances.
5. Returns & Refund Policy
- Returns are accepted at our discretion
- Full credit may be issued if goods are returned within 5 days of invoice date in resalable condition with original packaging.
- Selected high-value items (e.g., notebooks, displays, printers, projectors) may only be returned within 1 day if unopened and unused.
- Returns between 6–28 days may be credited at the lesser of:
o 70% of the current selling price; or
o 70% of the original purchase price. - No returns will be accepted after 30 days.
- A handling fee of up to 40% may apply if packaging, manuals, or software are missing.
- Opened software and retail-packaged peripherals are non-refundable.
- Cancellation of custom PC or Notebook builds may attract an administrative fee.
6. Storage
- Goods not collected within 3 months may be sold to recover costs.
- Storage may be arranged at the customer’s request and may incur additional charges.
- Du Pont Solutions accepts no liability for loss or damage during storage.
7. Maintenance Agreements
- Maintenance contracts are valid for an initial period of 12 months unless otherwise agreed.
- Maintenance covers labour only and excludes:
o Travel costs
o Replacement hardware
o Software licensing
o Third-party software
o Data recovery
o Printer repairs
o Insurance-related labour - Standard support hours: 08:30 – 17:00 (Mon–Fri, excluding public holidays).
- After-hours support is billed at the agreed contractual rate.
- Cancellation requires 30 days’ written notice.
- Services may be suspended if payments are overdue by more than 7 days after written demand.
8. Response Times
- Standard systems: Response within 8 working hours.
- Critical systems: Response within 4 working hours.
- Additional third-party costs are for the customer’s account.
9. Unauthorised Third-Party Work
- No third party may perform work on equipment under maintenance without written consent from Du Pont Solutions.
- Unauthorised work may result in immediate termination of contract.
- We are not liable for damages resulting from third-party intervention.
10. Data Responsibility & Backups
- Customers are solely responsible for maintaining secure, verified backups.
- Daily automated backups are strongly recommended.
- Du Pont Solutions shall not be liable for:
o Data corruption
o Ransomware or malware
o Load shedding damage
o Grid failure damage
o Cloud or ISP service failures - The use of illegal or unlicensed software is strictly discouraged and remains the customer’s responsibility.
11. Load Shedding & Power Protection
- Power interruptions and surges can cause hardware and data damage.
- Customers are advised to install pure sine wave UPS or inverter systems with surge protection.
- Du Pont Solutions is not liable for damage caused by load shedding, lightning, or grid failure.
- Maintenance contracts do not cover complete infrastructure rebuild after grid failure.
12. Hosting, Internet & Third-Party Services
- We may assist with domain hosting, DNS, routing, website hosting and internet connectivity.
- All third-party services remain subject to the provider’s own terms.
- Du Pont Solutions is not liable for ISP or hosting provider outages.
13. Software & Licensing
- Customers are responsible for ensuring all software is properly licensed.
- Du Pont Solutions accepts no liability for licensing non-compliance.
- Licenses and activation keys should be securely stored.
14. Remote Support
- Customers authorise Du Pont Solutions to remotely access systems where required.
- Remote support is provided “as is” and “as available.”
- Remote support does not replace the customer’s responsibility to maintain backups.
- We do not guarantee that all reported issues can be resolved remotely.
15. Limitation of Liability
Du Pont Solutions shall not be liable for:
- Indirect or consequential losses
- Loss of profits
- Loss of business
- Loss of data
- Business interruption
- Cyber-attacks, ransomware or malware
Customers are advised to maintain comprehensive insurance for equipment and data protection.
16. Force Majeure
Du Pont Solutions shall not be liable for any failure, delay, or interruption in performance of its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
- Load shedding or grid failure
- Power surges
- Acts of God or natural disasters
- Government actions or regulatory changes
- Labour disputes or strikes
- Supplier or distributor failures
- Internet or telecommunications outages
- Cyber-attacks affecting third-party infrastructure
17. General
- These Terms constitute the entire agreement between the parties.
- Du Pont Solutions may update these Terms at any time.
- Continued use of our services constitutes acceptance of any revised Terms.
18. Important Notice
- All prices exclude VAT.
- Du Pont Solutions will not be held responsible for any data loss whatsoever.
- Customers must maintain updated antivirus, firewall, and operating system updates.
- Suspicious emails and unauthorised downloads may result in ransomware infection.
19. Consumer Protection Act Compliance
Du Pont Solutions (Pty) Ltd conducts business in accordance with the Consumer Protection Act, 68 of 2008 (CPA) of South Africa.
Where applicable:
- Customers are entitled to goods that are of good quality, in good working order, and free of defects in terms of Section 55 of the CPA.
- The implied warranty of quality in terms of Section 56 applies to transactions covered by the CPA.
- Nothing in these Terms & Conditions is intended to limit or exclude any rights granted under the CPA where such limitation or exclusion would be unlawful.
- Any provision that is found to be unfair, unreasonable, or unjust under the CPA shall be severable without affecting the validity of the remaining provisions.
- Returns and refunds will be handled in accordance with both our Returns Policy and the CPA where applicable.
Where transactions fall outside the scope of the CPA (for example, juristic persons exceeding the statutory asset value or turnover threshold), the provisions of the CPA may not apply.
